1. About these terms

These terms of service ("Terms") govern your use of the Wenzo platform, including the website at wenzo.co.uk and the application at app.wenzo.co.uk (together, the "Service"). The Service is operated by ONAF Limited, a company registered in England and Wales ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

If you are using the Service on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

2. The service

Wenzo is a cloud-based accounting and bookkeeping platform designed for UK sole traders, landlords, and small businesses. The Service provides:

  • Connection to your bank accounts via Open Banking to retrieve transaction data
  • Automatic and manual categorisation of transactions for accounting purposes
  • Storage and processing of financial documents such as receipts and invoices
  • Shared access for your accountant or bookkeeper to view and work with your data
  • Reporting and summaries to help you understand your financial position

Wenzo is not a bank and does not hold your money. We do not provide financial advice, tax advice, or accounting services. You are responsible for ensuring that the information in your account is accurate and that your tax filings are correct.

3. Your account

To use the Service, you must create an account by providing a valid email address and setting a password. You agree to:

  • Provide accurate and complete information when registering
  • Keep your login credentials secure and not share them with anyone
  • Notify us promptly if you suspect any unauthorised access to your account
  • Maintain only one account per person or business entity

You are responsible for all activity that occurs under your account. We are not liable for any loss arising from unauthorised use of your credentials.

4. Open Banking

Wenzo connects to your bank accounts through Open Banking, using Finexer as our authorised provider. This connection is read-only -- we can view your transaction data but cannot move money, make payments, or alter your bank account in any way.

The Open Banking connection is regulated by the Financial Conduct Authority (FCA). Your bank credentials are never shared with us. Authentication happens directly with your bank through their own secure process.

You can revoke Wenzo's access to your bank data at any time, either through the Wenzo application or through your bank's own Open Banking permissions. Revoking access will stop new transactions from being imported but will not delete data already stored in your Wenzo account.

5. Your data and documents

You own your data. Any transaction data, documents, receipts, or other information you store in Wenzo remains yours.

By using the Service, you grant us a limited licence to process, store, and display your data solely for the purpose of providing and improving the Service. We will not sell your data to third parties or use it for purposes unrelated to the Service.

6. Accountant access

Wenzo allows you to grant your accountant or bookkeeper access to your account so they can view your transactions, documents, and reports. When you enable accountant access:

  • You are responsible for choosing who to authorise and for revoking access when it is no longer needed
  • Your accountant will be able to view and, where applicable, edit your financial data within the platform
  • We are not responsible for any actions taken by your accountant within your account

You can remove accountant access at any time from your account settings.

7. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service for any illegal activity, including money laundering or fraud
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated tools, bots, or scrapers to access or extract data from the Service without our prior written consent
  • Interfere with or disrupt the Service, its servers, or networks
  • Upload malicious code, viruses, or any material that could harm the Service or other users
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service in a way that could damage our reputation or infringe the rights of others

We reserve the right to suspend or terminate your account if we reasonably believe you have breached these conditions.

8. Intellectual property

The Wenzo name, logo, branding, software, website design, and all related intellectual property are owned by ONAF Limited or its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

You may not use the Wenzo name or branding without our prior written permission, except to identify the Service in connection with your normal use of it.

9. Availability

We aim to keep the Service available at all times, but we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance, which we will endeavour to carry out during off-peak hours
  • Unplanned outages or technical issues beyond our reasonable control
  • Disruptions to third-party services we rely on, including banking APIs and cloud infrastructure

We will make reasonable efforts to notify you of scheduled maintenance in advance where possible. We are not liable for any loss or inconvenience caused by the unavailability of the Service.

10. Limitation of liability

To the fullest extent permitted by English law:

  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity
  • Our total aggregate liability to you for any claims arising from your use of the Service shall not exceed the amount you have paid us in the 12 months preceding the claim, or one hundred pounds (GBP 100), whichever is greater

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

Wenzo does not provide accounting, tax, or financial advice. You are solely responsible for your financial decisions and tax obligations. We recommend that you consult a qualified accountant or tax professional for advice specific to your circumstances.

11. Termination

You may close your account at any time through your account settings or by contacting us at [email protected].

We may suspend or terminate your account if you breach these Terms, if required to do so by law, or if we decide to discontinue the Service. We will give you reasonable notice where possible.

When your account is closed:

  • You will have 30 days to export your data before it is permanently deleted
  • After the 30-day period, we will delete your data from our active systems. Residual copies in backups will be removed in accordance with our standard backup retention schedule
  • Your Open Banking connections will be disconnected

12. Changes to these terms

We may update these Terms from time to time. When we make significant changes, we will notify you by email or through a notice within the Service at least 14 days before the changes take effect.

If you continue to use the Service after the updated Terms take effect, you agree to be bound by the new Terms. If you do not agree with the changes, you should stop using the Service and close your account.

13. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
